Independent director
Also called: independent directors
A board member with no material relationship with the company or its controlling shareholders, meant to oversee management on behalf of all shareholders.
SEBI's listing rules require listed companies to have independent directors and for them to lead key committees such as the audit committee. Check who they are, how long they have served and whether they attend meetings, and treat sudden resignations as a warning sign.
